1. Definitions and Interpretation
1.1 Definitions
In these Platform Terms:
- 1.1.1 "ACL"
- means the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
- 1.1.2 "Account"
- means a registered user account on the Platform, whether for a Customer or a Service Provider.
- 1.1.3 "Booking"
- means a request for Services made through the Platform and confirmed by URGENT Pro as agent for the Service Provider.
- 1.1.4 "Content"
- means any text, images, photographs, graphics, audio, video, data, information, reviews, ratings, feedback, or other materials uploaded, submitted, posted, or transmitted through the Platform by any User.
- 1.1.5 "Customer"
- means any individual or entity that uses the Platform to request, book, or receive Services from Service Providers.
- 1.1.6 "Intellectual Property"
- means all intellectual property rights, including patents, trademarks, service marks, trade names, logos, domain names, copyrights, design rights, database rights, know-how, trade secrets, and all other similar proprietary rights (whether registered or unregistered) and all applications for any of the foregoing, anywhere in the world.
- 1.1.7 "Platform"
- means the URGENT Pro website (urgentpro.com.au and all related domains), mobile applications, booking systems, communication tools, and all related digital services and interfaces operated by URGENT Pro.
- 1.1.8 "Service Provider" or "Provider"
- means an independent contractor who uses the Platform to offer and provide Services to Customers. Service Providers are not employees, agents, partners, or representatives of URGENT Pro (except for the limited purpose of URGENT Pro acting as their booking and payment collection agent).
- 1.1.9 "Services"
- means the cleaning, gardening, handyman, pest control, removals, junk removal, and other services offered by Service Providers through the Platform.
- 1.1.10 "URGENT Pro", "We", "Us", or "Our"
- means WA Elite Services Pty Ltd (ABN 63 631 357 858) trading as URGENT Pro.
- 1.1.11 "User" or "You" or "Your"
- means any person who accesses or uses the Platform, including Customers, Service Providers, and general visitors.
- 1.1.12 "User Content"
- means any Content submitted, posted, uploaded, or transmitted to the Platform by a User, including reviews, ratings, feedback, profile information, photographs, and communications.
1.2 Interpretation
In these Platform Terms, unless the context otherwise requires:
- headings are for convenience only and do not affect interpretation;
- the singular includes the plural and vice versa;
- a reference to a party includes that party's executors, administrators, successors, and permitted assigns;
- a reference to legislation includes any modification, re-enactment, or replacement of that legislation;
- where a word or phrase is defined, its other grammatical forms have corresponding meanings.
2. The URGENT Pro Agency Model
2.1 Our Role as an Introductory Agency
You acknowledge and agree that:
2.1.1 URGENT Pro is an introductory agency
Our role is as an introductory agent for providers of cleaning, gardening, handyman, pest control, removals, junk removal, and related services. We do not ourselves provide any of these services.
2.1.2 The Platform is a facilitation tool
The Platform connects Customers with independent Service Providers. When you use the Platform to book Services, your contract for the provision of those Services is formed directly with the Service Provider, not with URGENT Pro.
2.1.3 Service Providers are independent contractors
Service Providers who use the Platform are independent business operators. They are not employees, workers, partners, joint venturers, franchisees, or agents of URGENT Pro (except for the limited purpose of URGENT Pro acting as their agent for bookings and payments).
2.1.4 We act as agent for Service Providers
URGENT Pro is authorised by Service Providers to:
- receive, process, and confirm Bookings on their behalf;
- set, display, and administer prices for Services in accordance with agreed pricing schedules;
- collect payments from Customers on behalf of Service Providers;
- handle complaints, disputes, and refund requests on behalf of Service Providers; and
- communicate with Customers and Service Providers regarding Bookings and Services.
2.1.5 No guarantees of service outcomes
URGENT Pro does not guarantee the availability, quality, safety, suitability, or outcome of any Services. While we endeavour to engage competent Service Providers and facilitate quality services, we do not warrant or guarantee any Service Provider's performance, qualifications, or suitability for any particular purpose.
2.2 No Employment or Partnership Relationship
2.2.1 Nothing in these Platform Terms, or in any use of the Platform, creates any employment, partnership, joint venture, agency (except as expressly stated), or franchisor-franchisee relationship between: (a) URGENT Pro and any Service Provider; (b) URGENT Pro and any Customer; or (c) any Customer and any Service Provider.
2.2.2 Service Providers control how, when, and where they perform Services. URGENT Pro does not control or direct the manner in which Service Providers perform their work.
2.2.3 Service Providers are responsible for their own:
- tools, equipment, and supplies;
- insurance (including public liability insurance);
- taxation, GST, and superannuation obligations;
- compliance with all applicable laws, regulations, and licensing requirements; and
- business expenses and commercial risk.
2.3 Scope and Limitations of the Platform
2.3.1 The Platform provides technology and administrative services to facilitate connections between Customers and Service Providers. The Platform does not provide the Services themselves.
2.3.2 URGENT Pro is not responsible for:
- the interactions, communications, or dealings that occur between Customers and Service Providers, whether through the Platform or otherwise;
- the accuracy, completeness, or reliability of any information, quotes, estimates, or descriptions provided by Customers or Service Providers;
- the ability of any Customer or Service Provider to fulfil their respective obligations;
- the quality, safety, legality, or suitability of any Services;
- any disputes between Customers and Service Providers, although we may assist at our discretion;
- any loss, damage, injury, or expense arising from the provision or non-provision of Services by Service Providers.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To access and use the Platform, you must:
3.1.1 Be at least 18 years of age;
3.1.2 Have the legal capacity to enter into binding contracts;
3.1.3 Not be prohibited from using the Platform under any applicable law;
3.1.4 Provide accurate, current, and complete registration information;
3.1.5 If registering as a Service Provider, meet all additional requirements set out in the Independent Contractor Agency Agreement, including holding all necessary licences, insurance, and qualifications.
3.2 Account Registration
3.2.1 To access certain features of the Platform (including making Bookings or offering Services), you may be required to create an Account.
3.2.2 When creating an Account, you agree to:
- provide accurate, current, and complete information as requested;
- maintain and promptly update your Account information to keep it accurate, current, and complete;
- maintain the security and confidentiality of your login credentials;
- immediately notify URGENT Pro of any unauthorised use of your Account or any security breach;
- accept responsibility for all activities that occur under your Account.
3.2.3 You may not:
- create more than one Account for yourself (unless expressly permitted);
- share your Account or login credentials with any other person;
- use another person's Account without their express permission;
- create an Account using false, misleading, or fraudulent information;
- create an Account on behalf of another person without their authorisation.
3.3 Account Security
3.3.1 You are solely responsible for maintaining the confidentiality and security of your Account login credentials.
3.3.2 URGENT Pro is not liable for any loss or damage arising from your failure to maintain the security of your Account.
3.3.3 You agree to immediately notify URGENT Pro if you become aware of any unauthorised access to or use of your Account.
3.4 Verification
3.4.1 URGENT Pro may, at its discretion, verify information provided by Users, including identity verification, ABN verification, licence verification, and insurance verification.
3.4.2 Verification does not constitute an endorsement, guarantee, or warranty by URGENT Pro of any User's identity, qualifications, reliability, or suitability.
3.4.3 Users are responsible for conducting their own due diligence before engaging with other Users through the Platform.
4. Acceptable Use of the Platform
4.1 Permitted Use
4.1.1 You may use the Platform only for lawful purposes and in accordance with these Platform Terms.
4.1.2 Permitted uses of the Platform include:
- browsing and viewing information about Services and Service Providers;
- creating and maintaining an Account;
- requesting quotes and making Bookings for Services (Customers);
- offering and providing Services through the Platform (Service Providers);
- communicating with other Users through the Platform's messaging features;
- submitting reviews, ratings, and feedback in accordance with these Platform Terms;
- making and receiving payments through the Platform's payment system.
4.2 Prohibited Conduct
4.2.1 You must not use the Platform to:
- violate any applicable law, regulation, or third-party rights;
- engage in any fraudulent, deceptive, misleading, or dishonest conduct;
- impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- harass, threaten, abuse, defame, vilify, or intimidate any other User or any URGENT Pro personnel;
- post, upload, or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, discriminatory, or otherwise objectionable;
- post, upload, or transmit any Content that infringes any Intellectual Property rights or other proprietary rights of any party;
- post, upload, or transmit any unsolicited advertising, promotional materials, spam, chain letters, or any other form of solicitation;
- post, upload, or transmit any material that contains viruses, malware, Trojan horses, worms, or any other harmful or destructive code;
- interfere with or disrupt the Platform, servers, or networks connected to the Platform;
- attempt to gain unauthorised access to any part of the Platform, other User Accounts, or any systems or networks connected to the Platform;
- use any automated means (including bots, scrapers, crawlers, or spiders) to access or collect data from the Platform without our express written permission;
- circumvent, disable, or interfere with any security features of the Platform;
- engage in any activity that could damage, overload, impair, or compromise the Platform or URGENT Pro's systems;
- collect, harvest, or store personal information about other Users without their consent;
- use the Platform for any illegal activity, including money laundering, tax evasion, or financing of terrorism;
- request or perform any Services that are unlawful, dangerous, or require licences or qualifications that the Service Provider does not hold;
- directly solicit or engage a Service Provider (if you are a Customer) or a Customer (if you are a Service Provider) outside the Platform to avoid URGENT Pro's fees or circumvent these Platform Terms.
4.3 Consequences of Prohibited Conduct
4.3.1 URGENT Pro reserves the right, at its sole discretion, to:
- investigate any suspected violation of these Platform Terms;
- remove or disable access to any Content that violates these Platform Terms;
- issue warnings to Users;
- suspend or terminate User Accounts;
- report any unlawful activity to relevant authorities;
- take any other action URGENT Pro deems appropriate to protect the Platform, other Users, or URGENT Pro's interests.
4.3.2 URGENT Pro is not obligated to monitor the Platform or User Content but may do so at its discretion.
5. User Content
5.1 Your Responsibility for User Content
5.1.1 You are solely responsible for all User Content that you submit, post, upload, or transmit through the Platform.
5.1.2 You represent and warrant that:
- you own or have the necessary rights, licences, and permissions to submit the User Content;
- the User Content is accurate and not misleading;
- the User Content does not violate these Platform Terms, any applicable law, or any third-party rights (including Intellectual Property rights and privacy rights);
- the User Content does not contain any material that is defamatory, obscene, offensive, or otherwise objectionable.
5.2 Licence Grant
5.2.1 By submitting User Content to the Platform, you grant URGENT Pro a non-exclusive, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from the User Content for the purposes of operating, promoting, and improving the Platform and URGENT Pro's services.
5.2.2 This licence survives termination of your Account and these Platform Terms.
5.2.3 You waive any moral rights you may have in the User Content to the extent permitted by law.
5.3 Reviews and Ratings
5.3.1 The Platform may allow Users to submit reviews, ratings, and feedback about Services, Service Providers, and Customers.
5.3.2 When submitting reviews, ratings, or feedback, you agree that:
- your review reflects your genuine, honest experience and opinion;
- you have actually used the Services or engaged with the User you are reviewing;
- you will not submit fake, fraudulent, or misleading reviews;
- you will not submit reviews in exchange for payment, incentives, or other consideration (unless clearly disclosed);
- you will not submit reviews that are defamatory, discriminatory, harassing, or otherwise objectionable;
- you will not submit reviews for the purpose of manipulating ratings or harming a competitor.
5.3.3 URGENT Pro reserves the right to remove or moderate reviews that violate these Platform Terms or that URGENT Pro reasonably believes to be false, misleading, or otherwise inappropriate.
5.3.4 Reviews and ratings are the opinions of individual Users and do not represent the views or endorsement of URGENT Pro.
5.4 URGENT Pro's Right to Remove Content
5.4.1 URGENT Pro reserves the right, but has no obligation, to monitor, review, edit, or remove any User Content at its sole discretion, for any reason or no reason, including User Content that URGENT Pro believes violates these Platform Terms or is otherwise objectionable.
5.4.2 URGENT Pro is not responsible for any User Content submitted by Users and does not endorse any opinions, recommendations, or advice expressed in User Content.
6. Intellectual Property
6.1 URGENT Pro's Intellectual Property
6.1.1 The Platform, including all software, code, design, text, graphics, logos, icons, images, audio, video, and other materials (excluding User Content), is owned by or licensed to URGENT Pro and is protected by Australian and international Intellectual Property laws.
6.1.2 The URGENT Pro name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of URGENT Pro or its licensors. You may not use such marks without URGENT Pro's prior written permission.
6.1.3 Subject to your compliance with these Platform Terms, URGENT Pro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for its intended purposes.
6.1.4 This licence does not include the right to:
- modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform;
- use any data mining, robots, scraping, or similar data-gathering methods;
- download (other than page caching) any portion of the Platform, except as expressly permitted;
- use the Platform other than for its intended purposes.
6.2 Feedback
6.2.1 If you provide URGENT Pro with any feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), you grant URGENT Pro a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate the Feedback into the Platform or any other products or services without any obligation to compensate you.
6.2.2 You acknowledge that URGENT Pro may already be developing or may independently develop similar ideas or features without use of your Feedback.
6.3 Third-Party Intellectual Property
6.3.1 If you believe that any Content on the Platform infringes your Intellectual Property rights, please contact us at support@urgentpro.com.au with details of the alleged infringement.
6.3.2 URGENT Pro will respond to valid notices of Intellectual Property infringement in accordance with applicable law.
7. Third-Party Links and Services
7.1 Third-Party Links
7.1.1 The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by URGENT Pro ("Third-Party Services").
7.1.2 URGENT Pro has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, or performance of any Third-Party Services.
7.1.3 Your use of Third-Party Services is at your own risk and subject to the terms and conditions of those Third-Party Services.
7.1.4 The inclusion of any link does not imply endorsement, approval, or recommendation by URGENT Pro of the linked Third-Party Service.
7.2 Third-Party Payment Providers
7.2.1 The Platform uses third-party payment service providers to process payments.
7.2.2 Your use of payment services is subject to the terms and conditions of the relevant payment service provider.
7.2.3 URGENT Pro is not responsible for errors, delays, or issues caused by third-party payment providers.
8. Disclaimers
8.1 Platform Provided "As Is"
8.1.1 To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
8.1.2 URGENT Pro expressly disclaims all warranties, including but not limited to:
- implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- warranties that the Platform will be uninterrupted, timely, secure, or error-free;
- warranties that the results obtained from the use of the Platform will be accurate or reliable;
- warranties that defects in the Platform will be corrected.
8.2 No Guarantee of Service Provider Quality
8.2.1 URGENT Pro does not guarantee, warrant, or endorse the quality, safety, legality, or suitability of any Service Provider or any Services offered through the Platform.
8.2.2 Any vetting, verification, or screening performed by URGENT Pro is conducted for URGENT Pro's own purposes and does not constitute a guarantee or warranty to Users.
8.2.3 Users are responsible for exercising their own judgment and conducting their own due diligence when engaging with Service Providers or Customers.
8.3 Accuracy of Information
8.3.1 While URGENT Pro endeavours to provide accurate and up-to-date information on the Platform, we do not warrant or guarantee the accuracy, completeness, currency, or reliability of any information, Content, or materials on the Platform.
8.3.2 URGENT Pro is not responsible for any errors or omissions in information provided by Users.
8.4 Consumer Guarantees
9. Limitation of Liability
9.1 URGENT Pro's Limited Role
9.1.1 URGENT Pro's role is limited to operating the Platform and facilitating connections between Customers and Service Providers. URGENT Pro does not provide the Services.
9.1.2 You acknowledge and agree that: (a) your contract for Services is with the Service Provider, not URGENT Pro; (b) the Service Provider is solely responsible for the provision, quality, and outcome of the Services; (c) URGENT Pro is not liable for any acts or omissions of Service Providers.
9.2 Exclusion of Liability
9.2.1 To the maximum extent permitted by law, URGENT Pro, its officers, directors, employees, agents, and affiliates shall not be liable for any:
- indirect, incidental, special, consequential, punitive, or exemplary damages;
- loss of profits, revenue, business, goodwill, or anticipated savings;
- loss of data or information;
- personal injury or property damage arising from your use of the Platform or any Services;
- any conduct or Content of any third party on the Platform;
- any Content obtained from the Platform;
- unauthorised access, use, or alteration of your transmissions or Content;
even if URGENT Pro has been advised of the possibility of such damages.
9.3 Cap on Liability
9.3.1 To the maximum extent permitted by law, URGENT Pro's total aggregate liability to you for all claims arising from or related to these Platform Terms or your use of the Platform shall not exceed the greater of: (a) the total fees paid by you to URGENT Pro in the 12 months preceding the claim; or (b) AUD $100.
9.4 Essential Purpose
9.4.1 You acknowledge that the limitations of liability in this clause 9 are an essential element of these Platform Terms and reflect a fair allocation of risk between the parties.
9.4.2 URGENT Pro would not provide access to the Platform without these limitations.
10. Indemnification
10.1 Your Indemnification Obligations
10.1.1 You agree to indemnify, defend, and hold harmless URGENT Pro, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- your use of the Platform;
- your User Content;
- your violation of these Platform Terms;
- your violation of any applicable law or third-party rights;
- your interactions with other Users;
- any Services you provide or receive through the Platform;
- any dispute between you and another User.
10.2 URGENT Pro's Rights
10.2.1 URGENT Pro reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with URGENT Pro's defence of such claim.
11. Suspension and Termination
11.1 URGENT Pro's Rights
11.1.1 URGENT Pro may, at its sole discretion and without prior notice: (a) suspend or restrict your access to the Platform; (b) terminate your Account; (c) remove any User Content you have submitted; for any reason, including but not limited to: (i) violation of these Platform Terms; (ii) suspected fraudulent, abusive, or illegal activity; (iii) requests by law enforcement or government agencies; (iv) extended periods of inactivity; (v) technical or security issues; (vi) discontinuation of the Platform or any part thereof.
11.1.2 For Service Providers who have been active on the Platform for six months or more and who earn below the contractor high-income threshold, URGENT Pro will follow fair deactivation procedures as required by applicable law, including providing notice, reasons, and an opportunity to respond (except in cases of serious misconduct).
11.2 Your Rights
11.2.1 You may terminate your Account at any time by contacting URGENT Pro at support@urgentpro.com.au.
11.2.2 If you are a Customer, termination of your Account does not affect any existing Bookings or your obligations under the Customer Terms & Conditions.
11.2.3 If you are a Service Provider, termination of your Account does not affect any existing obligations under the Independent Contractor Agency Agreement.
11.3 Effect of Termination
11.3.1 Upon termination of your Account: (a) your right to access and use the Platform will immediately cease; (b) any licences granted to you under these Platform Terms will terminate; (c) URGENT Pro may delete your Account information, User Content, and associated data (subject to legal retention requirements); (d) any provisions of these Platform Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
11.3.2 Termination does not relieve you of any obligations incurred prior to termination, including any outstanding payments or liabilities.
12. Modifications to the Platform and Terms
12.1 Modifications to the Platform
12.1.1 URGENT Pro reserves the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice.
12.1.2 URGENT Pro shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
12.2 Modifications to These Terms
12.2.1 URGENT Pro reserves the right to modify these Platform Terms at any time.
12.2.2 If we make material changes to these Platform Terms, we will: (a) post the updated Platform Terms on the Platform with a new effective date; (b) endeavour to notify you of the changes through the Platform, by email, or by other reasonable means.
12.2.3 Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Platform Terms.
12.2.4 If you do not agree to the modified Platform Terms, you must stop using the Platform and may terminate your Account.
13. Privacy
13.1 Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy & Data Handling Policy, which is incorporated by reference into these Platform Terms.
13.2 By using the Platform, you consent to the collection, use, and disclosure of your personal information in accordance with the Privacy & Data Handling Policy.
13.3 You acknowledge that when you use the Platform to book Services, your information (including name, contact details, service address, and Booking details) will be shared with Service Providers to enable them to provide the Services.
14. Communications
14.1 Electronic Communications
14.1.1 By using the Platform and providing your contact details, you consent to receive electronic communications from URGENT Pro, including: (a) Booking confirmations and updates; (b) Service Provider or Customer communications related to Bookings; (c) Account notifications and alerts; (d) Administrative and transactional messages; (e) Marketing and promotional communications (subject to your right to opt out).
14.1.2 You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
14.2 Opting Out
14.2.1 You may opt out of marketing and promotional communications at any time by: (a) clicking the "unsubscribe" link in marketing emails; or (b) contacting us at support@urgentpro.com.au.
14.2.2 Opting out of marketing communications does not affect transactional or administrative communications related to your Account or Bookings.
15. General Provisions
15.1 Governing Law and Jurisdiction
15.1.1 These Platform Terms are governed by and construed in accordance with the laws of Western Australia, Australia.
15.1.2 You submit to the non-exclusive jurisdiction of the courts of Western Australia and any courts having jurisdiction to hear appeals from those courts.
15.2 Entire Agreement
15.2.1 These Platform Terms, together with the Customer Terms & Conditions (if applicable), the Independent Contractor Agency Agreement (if applicable), the Privacy & Data Handling Policy, and any other policies referenced herein, constitute the entire agreement between you and URGENT Pro regarding your use of the Platform.
15.2.2 These Platform Terms supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.
15.3 Severability
15.3.1 If any provision of these Platform Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be: (a) severed from these Platform Terms; or (b) read down to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
15.4 No Waiver
15.4.1 A failure or delay by URGENT Pro in exercising any right, power, or remedy under these Platform Terms does not constitute a waiver of that right, power, or remedy.
15.4.2 A single or partial exercise of any right, power, or remedy does not preclude any other or further exercise of that or any other right, power, or remedy.
15.4.3 A waiver is not valid unless it is in writing and signed by URGENT Pro.
15.5 Assignment
15.5.1 You may not assign, transfer, or sublicense your rights or obligations under these Platform Terms without URGENT Pro's prior written consent.
15.5.2 URGENT Pro may assign, transfer, or delegate its rights and obligations under these Platform Terms to any third party, including in connection with a merger, acquisition, reorganisation, or sale of assets, without your consent but with notice to you.
15.6 Relationship of the Parties
15.6.1 Nothing in these Platform Terms creates any agency, employment, partnership, joint venture, or franchisor-franchisee relationship between you and URGENT Pro (except as expressly stated).
15.6.2 Neither party has the authority to bind the other or to incur any obligation on the other's behalf (except as expressly stated in respect of URGENT Pro's agency role for Service Providers).
15.7 Force Majeure
15.7.1 URGENT Pro shall not be liable for any failure or delay in performing its obligations under these Platform Terms if such failure or delay results from circumstances beyond URGENT Pro's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labour disputes, power failures, internet or telecommunications failures, or pandemics.
15.8 Survival
15.8.1 The following clauses shall survive termination or expiration of these Platform Terms: clause 2 (The URGENT Pro Agency Model), clause 5.2 (Licence Grant), clause 6 (Intellectual Property), clause 8 (Disclaimers), clause 9 (Limitation of Liability), clause 10 (Indemnification), clause 11.3 (Effect of Termination), clause 15 (General Provisions), and any other provisions that by their nature should survive.
